ACC (NSE: ACC) reported consolidated total income of ₹5,796 crore and net profit of ₹93 crore for the quarter ended 30 Sep 2026, it said in a filing on 27 Oct 2026. Standalone total income was ₹5,757 crore and net profit ₹101 crore.

Profit fell much faster than income. Consolidated total income of ₹5,796 crore was 7.0% lower than a year earlier, while net profit of ₹93 crore was 91.7% lower. The year-earlier quarter carried a tax credit of ₹356 crore, and the notes say ₹659 crore of tax provision reversals relate to the quarter ended 30 Sep 2025. This quarter's tax expense is ₹31 crore.

Other income of ₹117 crore is 94.4% of profit before tax of ₹124 crore. Without it, the pre-tax figure would be about ₹7 crore. Finance costs of ₹40 crore are 0.7% of total income and rose 37.9% from ₹29 crore a year earlier, while depreciation of ₹274 crore was little changed.

The standalone result carries an exceptional charge of ₹71 crore for termination benefits under the Voluntary Severance Scheme in the quarter, and ₹95 crore for the half year. The company says it disclosed the cost separately as an exceptional item because of its nature and materiality. Standalone profit before tax of ₹129 crore is after that charge.

Standalone net profit of ₹101 crore is ₹8 crore above the consolidated figure. The standalone cash flow statement shows dividend paid of ₹141 crore in the half year ended 30 Sep 2026. Standalone EPS of ₹5.38 compares with ₹59.22 a year earlier, when the tax line was a credit of ₹355 crore.

Inference

The board approved both sets of results on 27 Oct 2026, and the statutory auditors' limited review gives an unmodified conclusion on each. The consolidated review draws attention to the Competition Commission of India litigation in Note 6, where the company believes it has a case on merits. No provision is recognised for the ₹1,148 crore penalty, and the next hearing is on 28 Oct 2026.

The amalgamation with Ambuja Cements Limited awaits a hearing of the joint company petition before the NCLT on 19 Nov 2026. Under the scheme, Ambuja will issue 328 equity shares of ₹2 face value for every 100 ACC shares of ₹10 held by other shareholders. The company gave inter-corporate deposits of ₹4,403 crore to Ambuja in the half year at 8%, repayable by 31 Mar 2027; why these were given and how the funds will be used is not stated.
