Aequs gets regional director sanction for scheme of amalgamation with three subsidiaries
- Mergers & acquisitions
- Aerospace and engineering manufacturing
Aequs (NSE: AEQUS) has received sanction from the Regional Directorate, South West Region, Bengaluru, for its Scheme of Amalgamation with three wholly owned subsidiaries, it said in a filing on 06 Nov 2026. The scheme has an appointed date of 01 Apr 2026 and follows an earlier rejection of the scheme on 12 Oct 2026.
What the sanctioned scheme provides
The Regional Directorate's order of 06 Nov 2026 sanctions the scheme under Section 233 of the Companies Act, 2013, between Aequs Limited as transferee company and AeroStructures Manufacturing India Private Limited, Aequs Engineered Plastics Private Limited and Aequs Force Consumer Products Private Limited as transferor companies. The transferor companies are wholly owned subsidiaries of the company.
On the scheme becoming effective, the transferor companies stand dissolved without winding up, and all their property, assets, rights, liabilities and obligations vest in Aequs Limited without further act or deed. Pending legal proceedings and contracts continue by or against Aequs Limited.
The Transferee Company must also pay the difference of fee and stamp duty on the increase of authorised capital, after setting off fees paid by the transferor companies.
Steps before the scheme takes effect
The scheme becomes effective only when both the transferor companies and Aequs Limited file the order with the Registrar of Companies. The filing says the company will inform the stock exchanges in due course. The order must be filed in Form INC-28 within 30 days of receipt.
The scheme was returned by the Regional Directorate on 12 Oct 2026. The companies then made a representation to the Ministry of Corporate Affairs, which on 04 Nov 2026 instructed that the scheme be approved. The company's earlier filings, including a fund-raise of warrants on 05 Nov 2026, do not link to this scheme in the filing text.
What the amalgamation means for Aequs shareholders
The filing does not state the share exchange ratio or any consideration for shareholders, the financial effect on results or net worth, or the date the scheme takes effect; the company will say when the order is filed with the Registrar of Companies.
