The company has allotted 12,77,155 fully paid-up equity shares to Affle Holdings Pte. Ltd. on conversion of an equal number of warrants. The allottee is the promoter company, and the filing reports one investor for this preferential allotment.

The issue price is ₹1,487 per share. Of that, 25%, or ₹371.75 per share, was received when the warrants were allotted, and the remaining 75%, or ₹1,115.25 per share, is the conversion price. At that conversion price, this tranche comes to about ₹142.43 crore.

Warrants still to convert

As on the filing date, 30,16,443 equity shares have been allotted against the 74,00,000 warrants issued to the promoter company. That leaves 43,83,557 warrants unconverted.

The company has received ₹611.50 crore against the total of ₹1,100.38 crore for the warrants. The difference between the two figures is ₹488.88 crore, which the filing does not say has been received.

Share capital and listing

After this allotment, the issued and paid-up share capital is ₹28.78 crore, divided into 14,38,95,827 equity shares of ₹2 each.

The company is in the process of applying to NSE and BSE for listing of these shares. The earlier intimation of 19 Oct 2026 covered 17,04,324 shares allotted to the same promoter on warrant conversion.

What the warrant allotment means for Affle 3i's shareholders

The allotment adds 12,77,155 shares to the number outstanding, which now stands at 14,38,95,827. The filing does not give the promoter's holding after the allotment, so the change in any shareholder's percentage stake cannot be worked out from it.
