Consolidated net profit fell far more than income. Total income slipped 1.9% to ₹9,255 crore, while net profit dropped to ₹236 crore from ₹2,336 crore a year earlier. The year-ago quarter carried a one-time tax write back of ₹1,180 crore at the holding company level, which the filing describes as a reversal of tax provisions after favourable High Court decisions, so the base is high.
Revenue from operations rose 0.4% to ₹9,166 crore, while other income rose 124.0% to ₹56 crore. Other income is 0.6% of total income this quarter and 18.8% of profit before tax of ₹298 crore. Finance costs were ₹74 crore, or 0.8% of total income.
Profit before tax fell 66.3% to ₹298 crore after a ₹85 crore exceptional item for termination benefits under the Voluntary Severance Scheme. The filing says the scheme covers third party workforce and permanent employees at various production facilities, including facilities where operations are temporarily suspended. The year-ago quarter's profit before tax of ₹883 crore was restated from ₹838 crore for the purchase price allocation of Orient Cement.
The tax line moved from a credit of ₹1,453 crore to a charge of ₹62 crore. Net profit of ₹236 crore is larger than the ₹193 crore attributable to owners of the parent, the balance being non-controlling interest.

Standalone total income rose 9.5% to ₹6,187 crore, with revenue from operations up 9.6% to ₹6,113 crore and other income up 10.0% to ₹66 crore. The company's year-ago figures were restated for the Sanghi Industries and Penna Cement amalgamations; the reported year-ago profit before tax was ₹285 crore.
Finance costs rose 158.2% to ₹142 crore, which is 2.3% of total income. The filing does not give the reason for the rise. Depreciation was ₹501 crore, up 5.9%.
The standalone results carry a ₹14 crore exceptional item for termination benefits under the Voluntary Severance Scheme at one production facility, where operations are temporarily suspended. Tax of ₹41 crore is 26.5% of profit before tax.
Inference
The filing states that the Board approved acquisition of 26% equity shares of SWE Renewables Limited, to be made in one or more trenches within 15 months, for cash consideration of approximately ₹33.75 crore. The company says the purpose is to optimise electricity cost and increase the share of renewable energy through a captive structure.
The company's inter-corporate deposits from subsidiaries ACC Limited and Orient Cement Limited total ₹4,403 crore and ₹512 crore for the half year, carry 8% interest and are repayable on or before 31 Mar 2027. The filing's auditors note that the review conclusion is not modified in respect of the Competition Commission penalty of ₹1,164 crore, which is under appeal before the Supreme Court with no provision recognised; the outcome is not known.
The filing does not give the reason for the temporary suspension of production facilities beyond the company's strategic review, the reason for the rise in standalone finance costs, or the timing and amount of any dividend for the period.
