Both facilities move up one notch

The ₹80 crore fund-based cash credit facility and the ₹70 crore non-fund based facility each moved from [ICRA]A+ (Stable)/[ICRA]A1 to [ICRA]AA- (Stable)/[ICRA]A1+. The non-fund based limits can be used interchangeably with the fund-based facility up to ₹55 crore.

ICRA ties the upgrade to the company's financial flexibility through deeper integration with the APL Apollo Group, led by Sanjay Gupta, who took over as Chairman of APL and increased his ownership. ICRA expects the company to benefit from the group's distribution and dealer network, particularly in southern and western markets where it has a limited presence.

ICRA also says the ratings derive comfort from the promoters' commitment to provide timely operational and funding support if unforeseen liquidity constraints arise. The Stable outlook, it says, reflects expected benefits from the APL Apollo brand and healthy demand prospects for PVC.

Profit fell and debt rose in FY2026

ICRA's key financial indicators put FY2026 consolidated operating income at ₹1,104.9 crore against ₹1,181.6 crore in FY2025, a fall of 6.5%. Profit after tax was ₹4.7 crore against ₹34.1 crore, down 86.2%. Total debt/OPBDITA was 1.9 times in FY2026 and interest coverage 6.4 times.

Consolidated total debt rose to ₹123.4 crore as on 31 Mar 2026 from ₹91.8 crore a year earlier, and the company moved from net cash of ₹40.1 crore to net debt of ₹41.1 crore. ICRA says cash and liquid investments fell to ₹82.3 crore, following their use towards capex and working capital requirements.

ICRA expects operating profitability to recover gradually. Blacklitt's data show a consolidated net loss of ₹11.11 crore for Q1 FY27 on total income of ₹297.65 crore. ICRA says a total debt/OPBDITA above 1.5x on a sustained basis could lead to a downgrade.

Warrants and an acquisition in the pipeline

ICRA refers to a proposed issue of fully convertible warrants of up to ₹189.1 crore, along with balance proceeds of about ₹82.5 crore from Kitara Capital warrants. It says this is expected to fund the expansion programme, subject to timely receipt of funds. Blacklitt's earlier article on 16 Oct 2026 covered the warrant conversion that brought in ₹82.50 crore.

ICRA also notes that one acquisition of operating units was completed in September 2026. It says the ceramics business is to be scaled up, and that the investment and ramp-up of the segment remain a key monitorable.

What the rating upgrade means for Apollo Pipes shareholders

The upgrade lifts the rating on ₹150 crore of bank lines to [ICRA]AA- (Stable) and [ICRA]A1+, and ICRA ties its view to the group link and the promoters' support. Not stated: the company's own response to the rating, the price, subscription terms or timetable of the warrant issue, and the amount paid for the acquisition completed in September 2026.

The filing gives no date for the warrant issue. The sensitivities ICRA lists are a weakening of links with the APL Apollo Group and a total debt/OPBDITA above 1.5x on a sustained basis, against 1.9 times in FY2026.
