Inference
The board approved a buy-back of fully paid-up equity shares of up to ₹90 crore, at up to ₹7,500 a share, excluding transaction costs. The indicative maximum is 1,20,000 shares, or 0.41% of outstanding equity shares. The public announcement with the process and timelines will be released later.
The board approved Price Waterhouse Chartered Accountants LLP as statutory auditors for five years, from the 50th AGM in 2027 to the 55th AGM in 2032, subject to shareholder approval. Deloitte Haskins & Sells LLP continues until the 50th AGM. Dividends on equity shares of ₹88.32 crore were paid in the six months, per the cash flow statement.
The auditors' review of the standalone results has no modification; for the consolidated results they relied on other auditors' reports for three subsidiaries and did not modify their conclusion. The filing does not give the reason for the fall in consolidated profit or the timing of the buy-back.
