Standalone total income rose 5.2% YoY to ₹29.00 crore, but net profit fell 14.8% to ₹4.25 crore, more than the 13.9% fall in profit before tax to ₹5.72 crore. Revenue from operations rose 19.6% to ₹28.50 crore, while other income fell from ₹3.76 crore to ₹0.50 crore, so other income was 8.7% of profit before tax.

Tax expense was ₹1.47 crore, 25.8% of profit before tax. The filing does not give the reason for the fall in standalone other income.

Consolidated net profit of ₹20.54 crore is ₹16.29 crore higher than the standalone figure of ₹4.25 crore.

The filing says the auditors' limited review of the consolidated statement includes one subsidiary, with total assets of ₹3.45 crore, that was not reviewed by them and is certified by management; the auditors say this is not material to the group.

    Inference

The filing says the board of Atyati Technologies approved a Business Transfer Agreement with TVAM Technologies Private Limited for the sale of its Joint Liability Group-Financial Lending Business on a going concern basis through a slump sale, subject to lender and regulatory approvals.

The company sub-divided each equity share of face value ₹10 into two of ₹5 each after the quarter, and restated EPS.

The price or terms of the TVAM sale, and the expected timing and effect of the Atyati business transfer on results, are not stated in the filing.
