Share count and authorised capital rise

Bosch's subscribed and paid-up shares rise from 29,496,100 shares of ₹10 each to 147,480,500 shares of ₹2 each after the sub-division. The 3:1 bonus issue then takes the paid-up count to 589,922,000 shares.

The board also approved raising the authorised share capital from ₹38.05 crore to ₹150 crore, which is 3.94 times the existing figure. The company describes this increase as consequential to the sub-division and bonus issue.

    Reserves and the stated reason

The bonus issue is to be funded from retained earnings. It needs ₹88.49 crore of free reserves or share premium, against ₹13,731.16 crore available as on 31 Mar 2026, which is 155.17 times the amount required.

The company says the sub-division is proposed to enable retail shareholders to partake in the company's future. The statutory auditors issued an unmodified conclusion on the results approved at the same meeting, and the consolidated statement carries an emphasis of matter on the restatement for the business combination with Bosch Chassis Systems India Private Limited.

What the bonus issue and sub-division mean for Bosch's shareholders

Holders of the existing shares would hold more shares after the sub-division and the bonus issue, in the ratios above. The filing does not say the record date, which is to be determined, the date of the postal ballot, when the bonus shares will be credited, or how the change will affect the price per share.

The next steps are shareholder approval through postal ballot and the setting of a record date. The company says it will complete the corporate action within two months of 6 Nov 2026, subject to necessary approvals.
