Brigade Enterprises (NSE: BRIGADE) has entered into an Investment Framework Agreement with International Finance Corporation to invest in eligible middle income housing projects, it said in a filing on 04 Nov 2026. Venusta Ventures Private Limited, a wholly owned subsidiary, proposes to issue rated, redeemable, unsecured non-convertible debentures to IFC.

    What the agreement sets up

Under the framework, Brigade Enterprises and IFC have agreed to invest in eligible middle income housing projects. The stated purpose is to record their agreement towards investment in the construction and development of eligible residential projects, including a project being developed by Venusta Ventures.

Venusta Ventures proposes to issue unsecured, rated, redeemable, rupee-denominated non-convertible debentures to IFC, in one or more tranches. The debentures are proposed to be listed on the wholesale debt market segment of BSE. The issue is subject to fulfilment of agreed conditions precedents under the related transaction documents.

    Lender-style rights for IFC

The company says IFC will have rights customarily provided to lenders, including the right to appoint a director in Venusta Ventures and the right to restrict a change in capital structure. IFC is a financial investor and will not hold any shares in Venusta Ventures consequent to the current arrangement, and no shares are proposed to be issued to it.

Termination or amendment of the agreement is marked not applicable in the filing.

What the IFC framework means for Brigade Enterprises' shareholders

The framework adds a financing partner for middle income housing projects, with debentures issued by a wholly owned subsidiary rather than by the listed company itself. The filing does not say how much IFC will invest, the interest rate, tenor or redemption terms, how many tranches there will be or when, or which projects will be funded.

The next step is the fulfilment of the conditions precedents, after which tranches may be issued.
