What the Management Committee approved
On 03 Nov 2026 the Management Committee of the Board, acting under powers delegated by the Board, approved two steps. The first is the creation of security for a Rupee Term Loan facility sanctioned to Ceigall Ambala Chandigarh Zirakpur Limited, the project SPV. The second is further investment in the SPV through equity share capital, and loans, securities and guarantees as per fund requirements.
The filing gives the combined requirement of ₹86.32 crore for the company along with Ceigall Infra Projects Private Limited, split into ₹17.26 crore of equity and ₹69.06 crore of unsecured loan or other instrument. It does not split that amount between the two companies.
The SPV and its project
The SPV was incorporated on 28 Apr 2026 to execute a six-lane access controlled spur connectivity project from the Ambala to Chandigarh section of NH-205A to the Zirakpur Bypass, under NH(O) in Punjab, on Hybrid Annuity Mode. Ceigall Infra Projects Private Limited, a wholly owned subsidiary, was identified as Selected Bidder under a Letter of Award dated 27 Mar 2026 from the National Highways Authority of India.
The filing gives the SPV's size or turnover as nil and says it is yet to commence operations. Its authorised and paid-up share capital is ₹1 lakh. A separate Blacklitt article of 12 Oct 2026 covered another SPV purchase by the company, for a Gujarat power transmission project.
How the step compares with the company's size
At the 02 Nov 2026 close, Ceigall India's market value was ₹6,837 crore. The ₹86.32 crore total infusion is about 1.3% of that figure. The latest reported quarter, Q1 FY27 on a consolidated basis, showed total income of ₹981.08 crore and net profit of ₹63.75 crore.
What the security and investment mean for Ceigall India's shareholders
The step commits the company, with its subsidiary, to infuse ₹86.32 crore into the SPV in tranches as project funds are needed, and the company has agreed to the creation of security for the SPV's term loan. The filing does not state the amount or lender of the Rupee Term Loan, the terms of the security, the timing of the tranches, or the returns the SPV is expected to earn.
The next step is the infusion itself, which the filing ties to fund requirements but does not date.
