Standalone total income rose 51.0% to ₹314.38 crore from ₹208.14 crore a year earlier. Net profit rose 76.7% year on year to ₹22.81 crore, faster than total income (up 51.0%), and rose 68.6% on the quarter before, when total income rose 51.8%.

Profit before tax rose 75.8% to ₹30.73 crore, and tax expense rose 73.4% to ₹7.92 crore. Finance costs rose 22.3% to ₹5.45 crore.

The standalone statement shows an exceptional item of ₹2.75 crore for the six months ended 30 Sep 2026. The notes say the company recovered ₹2.44 crore of trade receivables from its Canada subsidiaries in the quarter ended 30 Jun 2026 and wrote back liabilities of ₹31.50 lakh, both disclosed as exceptional items. The Board decided on 19 Dec 2025 to discontinue the business operations of those subsidiaries, and the company is making the regulatory filings for the liquidation of the Canadian operations.

    Inference

The Board has approved, subject to shareholders' approval, raising the borrowing limit under Section 180(1)(c) of the Companies Act, 2013 from ₹500 crore to ₹1,000 crore, and creating mortgages and charges on movable and immovable assets to secure borrowings up to ₹1,000 crore, including existing borrowings.

The company allotted 1,810,345 equity shares in a Qualified Institutional Placement in the year ended 31 Mar 2025 at ₹1,160 a share. It said the net proceeds of ₹200.68 crore were to be used for repayment or prepayment of certain borrowings and general corporate purposes, and that unutilised QIP funds of ₹52.06 crore were invested in mutual funds at 30 Sep 2026.

The company says it has not given any guarantees over and above its ₹153.78 crore investment in Centum T&S Group Societe Anonyme (S.A.), and that management expects no incremental exposure from the liquidation proceedings. The filing does not give the reason for the proposed increase in borrowing limits or what the new borrowings will fund.
