Consolidated net profit grew faster than total income. Net profit rose 16.1% to ₹73.58 crore, while total income rose 10.0%, and profit before tax rose 18.9%. Revenue from operations, at ₹546.64 crore, rose 11.5% YoY, and that growth more than offset a 36.7% fall in other income to ₹9.93 crore.

Other income is a small share of the quarter's result. At ₹9.93 crore it is 1.8% of total income and 10.4% of profit before tax of ₹95.79 crore. Tax expense of ₹22.21 crore is 23.2% of profit before tax.

Finance costs rose sharply, to ₹6.33 crore from ₹4.07 crore a year earlier, which is 1.1% of total income. The filing does not state the cause of the rise in finance costs.

The consolidated figures include a step-down subsidiary with a negative net worth of ₹24.63 crore. The company has investments of ₹11.96 crore in its preference shares and ₹36.14 crore in its perpetual debentures. Management says no provision for these investments is considered necessary, and the auditors' review report draws attention to this matter without modifying its conclusion. The auditors did not review one step-down subsidiary with total revenue of ₹102.36 crore for the quarter, nor eleven other subsidiaries, reporting their revenue of ₹21.21 crore as not material to the Group.

    Inference

The filing says the Board approved a Scheme of Amalgamation on 21 May 2026 for merging two wholly owned subsidiaries, Dextara Digital Private Limited and Datamatics Cloud Solutions Private Limited, into the company, with no shares to be issued and an appointed date of 1 Apr 2026. The Mumbai NCLT bench received a sanction petition on 23 Oct 2026, and the Hyderabad petition is pending filing; the scheme remains subject to NCLT approval.

The filing does not say why other income fell, what caused finance costs to rise, or when the Hyderabad petition will be filed. The Labour Codes exceptional items of ₹24.02 crore (consolidated) and ₹11.37 crore (standalone) relate to the year ended 31 Mar 2026 and are not in this quarter's figures.
