Dishman Carbogen Amcis: Vyas family settlement moves 59.32% stake within promoters

Dishman Carbogen Amcis (NSE: DCAL) has received a letter about a Family Settlement Agreement among members of the Vyas family, who are promoters of the company, it said in a filing on 30 Oct 2026. The agreement, dated 29 Oct 2026, links a 59.32% stake held through Adimans Technologies LLP to Aamanya AG, and the company says it is not a party to it.

What the agreement covers

The Vyas family members named in the filing are Arpit Janmejay Vyas, Deohooti Janmejay Vyas, Aditi Janmejay Vyas and Mansi Janmejay Vyas, all promoters or members of the promoter group. The family says the agreement aims to align ownership with management of the family's business interests, particularly in the company, and to realign holdings in certain other entities.

Under a share purchase agreement dated 28 Oct 2026, Adimans Technologies LLP agreed to sell and Aamanya AG agreed to buy 9,30,02,442 equity shares, which the filing says is the entire shareholding of Adimans Technologies LLP in the company, 59.32%. Arpit Janmejay Vyas is the sole shareholder of Aamanya AG. The company says the transfer is an inter-se transfer within the promoter group and falls under the exemption in Regulation 10(1)(a)(ii) of the SAST Regulations.

Board and shareholding changes

On completion of the share transaction, Deohooti Janmejay Vyas will resign as partner and designated partner of Adimans Technologies LLP and as a director of the company, unless she states in writing that she will continue. The company says the aggregate promoter and promoter group shareholding will remain unchanged and that management and control will stay with the promoter group.

Family members named in the promoter or promoter group categories are to seek reclassification as public shareholders on the Retirement Date, or a later agreed date, under Regulation 31A of the SEBI Listing Regulations. The family's direct holdings in the company are small: as on 30 Sep 2026, Arpit Janmejay Vyas held 1,000 shares, Deohooti Janmejay Vyas 2,000 shares, and Aditi and Mansi Janmejay Vyas 1,000 shares each, each shown as 0.00%.

What the settlement means for Dishman Carbogen Amcis's shareholders

The company is not a party to the agreement, and the filing says no liability or restriction is imposed on it. The company's market value is ₹2,274 crore at the 30 Oct 2026 close, and its latest quarter showed a net loss of ₹57.88 crore; the filing does not link either to this agreement. The next dated step is the Retirement Date, which the filing does not give.

Not stated: the price paid under the share purchase agreement, the reasons beyond the stated purpose, whether the 28 Oct 2026 transfer has been completed, and who would replace Deohooti Janmejay Vyas as a director if she resigns.
