Dr. Lal PathLabs Limited has told the exchanges that its wholly owned subsidiary, PathLabs Unifiers Private Limited (PUPL), acquired the remaining 30% equity stake in Centrapath Labs Private Limited (CPL) on 13 Oct 2026. CPL, already a subsidiary of PUPL, has become a wholly owned subsidiary of PUPL. The acquisition follows the company's intimation of 12 Oct 2026.
The shares were bought for cash at ₹1,608.352 per share. The total consideration is not stated in the filing. CPL was incorporated on 23 Jul 2019 in Indore, Madhya Pradesh, and provides healthcare and diagnostics services. Its turnover was ₹20.5 crore in FY2026, ₹23.7 crore in FY2025 and ₹20.8 crore in FY2024.
The transaction is not a related party transaction and needed no governmental or regulatory approval. The filing says the acquisition is completed.
Inference
With the minority stake acquired, the group now owns all of CPL, so any profit from CPL would no longer be shared with an outside shareholder. The price paid per share is given, but the total cost and CPL's profit are not, so the financial effect cannot be judged from this announcement.
CPL is small next to the group, with turnover of ₹20.5 crore in FY2026, and its turnover was lower in FY2026 than in FY2025. Shareholders may want to watch how the company describes CPL in its later results.
