Size of the buyback against the company's capital

The buyback size of up to ₹120.00 crore represents 4.84% of the aggregate of paid-up share capital and free reserves in the audited standalone financial statements as at 31 Mar 2026. The company says the maximum permissible amount under the Act and SEBI Buyback Regulations is ₹619.40 crore on a standalone basis and ₹616.40 crore on a consolidated basis, according to the statutory auditor's report dated 27 Oct 2026.

The buyback will be funded out of free reserves and or securities premium account, or other sources permitted by law, the filing says.

    Promoter participation

Promoters and the Promoter Group have informed the company by letters dated 27 Oct 2026 that they intend to participate and tender their pro rata entitlement. They will not tender more than 11,34,10,433 shares, which is their total holding. The company says the buyback will not change control of the company.

Promoters may also tender additional shares depending on publicly available information at the time of their decision, the filing says.

    Timing and process

The record date for determining entitlement is 13 Nov 2026. The public announcement is dated 28 Oct 2026 and was published on 29 Oct 2026 in Business Standard and Navshakti. Eureka Stock & Share Broking Services Limited is the registered broker and Sundae Capital Advisors Private Limited is the manager to the buyback. The buyback is subject to approvals from statutory and regulatory authorities as may be required.

The company's latest quarter, Q2 FY27 consolidated, reported total income of ₹590.08 crore and net profit of ₹49.06 crore. At the 29 Oct 2026 close of ₹377.15 a share, the company's market value is ₹6,140 crore, so the buyback price of ₹500 is above that close.

What the buyback means for FDC's shareholders

The buyback returns up to ₹120.00 crore to shareholders who choose to tender, and the company says it aims to return surplus cash and enhance shareholder value. Shareholders may tender all, part or none of their entitlement, and the filing does not say how many shares will be tendered or accepted.

The filing does not say how many public shares will be tendered, what the final acceptance will be, or what net cash shareholders will receive after costs. The next dated step is the record date of 13 Nov 2026, with the Letter of Offer to follow for shareholders on that date.
