Profit is small against income this quarter. Other income of ₹3.15 crore is 192.2% of profit before tax of ₹1.64 crore, while revenue from operations of ₹47.55 crore is the larger part of total income. Other income was ₹0.30 crore a year ago and ₹0.19 crore in the June quarter, and the filing does not give a reason for the rise.

Finance costs fell to ₹1.13 crore from ₹2.00 crore in the June quarter and ₹1.76 crore a year ago. They are 2.2% of total income this quarter. The tax charge of ₹0.14 crore is 8.8% of profit before tax, against ₹4.42 crore in the June quarter.

The statement records merger-related expenses as exceptional items, and the auditor's review report states that its conclusion is not modified. The auditor's other matter refers to comparative restated figures for the erstwhile associate ITIL, reviewed by its then auditors.

    Inference

The filing says the company issued 4,74,65,031 equity shares to the erstwhile shareholders of ITIL under the merger scheme, and that the board approved a rights issue of 1,74,11,380 shares at ₹40 each, aggregating ₹69.65 crore, with allotment completed on 19 May 2026. The filing does not say how the remaining proceeds will be used.

The filing gives the incremental impact of the New Labour Codes as ₹80.94 lakh and says it will be reassessed when rules are notified. Whether that impact recurs is not stated.
