Piombino's authorised capital moves into JSW Steel's
Clause 9 of the Scheme reclassifies, consolidates and combines the authorised share capital of Piombino Steel with that of JSW Steel. The order gives Piombino's authorised capital as ₹12,000 crore of equity share capital and ₹5,000 crore of preference share capital, and JSW Steel's authorised capital before the Scheme as ₹10,980 crore.
Clause V of JSW Steel's Memorandum of Association is substituted to state an authorised share capital of ₹27,980 crore. The company says this is the figure after the amalgamation, consisting of 19,030 crore equity shares of Re. 1 each and 895 crore preference shares of ₹10 each.
Exchange ratio, approvals and stated rationale
The Scheme sets an exchange of 10 fully paid-up equity shares of Re. 1 each of the transferee company for every 156 fully paid-up equity shares of ₹10 each of the transferor company. Piombino Steel's equity shares are not listed on any recognised stock exchange in India.
JSW Steel equity shareholders approved the Scheme with 94.86% of valid votes cast, and public shareholders with 97.20%. The Regional Director, Western Region, filed a report on 17 Sep 2026 and raised no objections, and the Tribunal stated that the Scheme appears fair and reasonable and does not violate any law.
The Scheme's stated rationale is that JSW Steel will directly hold the investment in Bhushan Power and Steel Limited, have a platform for transactions related to that business, have additional cash for growth, and reduce compliance and overhead costs. JSW Steel has said it will comply with the Foreign Exchange Management Act, 1999 and RBI regulations upon approval of the Scheme.
What the amalgamation means for JSW Steel's shareholders
With the Scheme effective, Piombino Steel now stands amalgamated with and into JSW Steel, with effect from the appointed date of 1 Jan 2026, and the authorised capital of both companies is combined under JSW Steel's Clause V.
Not stated: the total number of new JSW Steel shares to be issued under the Scheme, the consideration or value of the BPSL investment transferred, the effect on JSW Steel's financial results, and whether the preference share terms change for shareholders. The filing lists no further dated step beyond the effectiveness of the Scheme.
