    Payment in two tranches

The investment is split into two equal tranches of ₹50 crore each. The first is payable at the time of subscription and allotment. The balance is payable on dates the company decides from time to time, by call on the partly paid-up equity shares.

The filing does not give the date of the Stage 1 payment or the dates or conditions of the balance call.

    SISCOL's size against the investment

SISCOL reported turnover of ₹816.87 crore and net profit of ₹43.42 crore for FY 2025-26, up from turnover of ₹636.10 crore in FY 2024-25. The ₹100 crore investment is about 12.2% of that FY 2025-26 turnover.

The company says the capital infusion will support liquidity management and smooth operations, and that the transaction is for expansion of business activities. SISCOL operates six production facilities with aggregate capacity of 100,000 MT per annum.

What the investment means for Lloyds Engineering Works' shareholders

The investment is a cash subscription into a subsidiary, with the cost stated as ₹100 crore. Three directors, Shree Krishna Gupta, Mukesh Gupta and Devidas Kambale, are common directors of the company and SISCOL, and the company says the transaction is at arm's length based on an independent valuation report.

The filing does not say how the investment will be funded, what SISCOL's shareholding will be after the issue, or what effect it will have on the company's results. The next dated step is the Stage 1 payment, whose date is not stated.
