What TEIL does and how big it is
TEIL was incorporated on 17 Feb 2024 and is engaged in end-to-end contract mining services, including exploration, drilling, mining, excavation, hauling and transportation of minerals, as well as trading of coal, iron ore and iron ore pellets. Its turnover was ₹4,126.07 crore in FY 2025-26 and ₹3,140.60 crore in FY 2024-25 (restated), according to the filing.
The filing says the investment is intended to meet TEIL's working capital needs, fund business expansion and capital expenditure, support operations and cover other general corporate purposes.
A rights issue offered to all shareholders
The company says TEIL's rights issue is offered uniformly to all shareholders in proportion to their shareholding, so the issuance is not considered a related party transaction. The company is interested in the transaction only to the extent of its shareholding.
The company already subscribed to a TEIL rights issue on 22 Sep 2026, when TEIL allotted 3,50,00,000 equity shares at ₹173.36 each, aggregating ₹606.76 crore, on 29 Sep 2026.
What the TEIL investment means for Lloyds Metals & Energy's shareholders
The filing does not say how many TEIL shares the investment will buy, the issue price, the company's post-issue holding, or whether it will be made in one tranche or several. It also does not say how the investment will affect the group's consolidated results or net debt; the post-issue shareholding is to be informed as and when it happens.
