The new subsidiary and its capital

The board approved the incorporation of a wholly-owned subsidiary on 04 Nov 2026. The company says the subsidiary will carry out the same business as its own, which is real estate activities.

The subscription is for 10,000 equity shares of ₹10 each for ₹1 lakh, including one share each held by six nominees on behalf of the company. The name is still subject to approval by the Ministry of Corporate Affairs, and the filing gives no start date for operations.

    A ₹350 crore guarantee for Max 128

The board approved a corporate guarantee for a term loan facility of up to ₹350 crore to be availed by Max Estates 128 Private Limited, a wholly-owned subsidiary. The company says the guarantee is a condition precedent to the facility and stays valid until Max 128's obligations under the facility documents are fully discharged.

The company says the guarantee will be a contingent liability, with no immediate financial outflow arising solely from its issuance.

Fund-use reports for the QIP and preferential issue

The board reviewed CARE Ratings' monitoring reports for the quarter ended 30 Sep 2026. For the ₹800 crore QIP, ₹796.06 crore was utilised and ₹3.94 crore was held in fixed deposits, with no deviation from objects reported.

For the ₹150 crore preferential issue, ₹144.78 crore was utilised and ₹5.22 crore was held in mutual funds through subsidiaries' current accounts. The agency notes commingling of funds, as proceeds were routed through the current account of Max Estates Noida Private Limited. The land acquisition portion of the QIP shows ₹328.44 crore utilised till FY25 against ₹350 crore scheduled by 31 Mar 2025, and the agency notes a delay in that utilisation.

What the subsidiary and guarantee mean for Max Estates shareholders

The new subsidiary's capital is nominal at ₹1 lakh. The ₹350 crore guarantee is a contingent liability for the company, and the filing says it involves no immediate cash outflow. The filing does not say why the guarantee is needed or what the term loan will fund, and it does not name the lender. It also does not say when the subsidiary will start operations or how much funding it will receive beyond its initial capital.

The filing does not explain the reason for the commingling of funds or the delay in land acquisition utilisation, or whether any corrective action has been taken.
