Meesho puts ₹40 crore more into lending unit MPPL through rights issue

Meesho (NSE: MEESHO) has subscribed for 1,14,28,571 equity shares of its wholly owned subsidiary Meesho Payments Private Limited through a rights issue, for a total of about ₹40 crore, it said in a filing on 03 Nov 2026. The shares were allotted on 02 Nov 2026, and the company's holding stays at 100%.

The investment and what the filing says it is for

The company subscribed for 1,14,28,571 equity shares of Re. 1 each, at a premium of ₹349 per share, so the total cost is ₹40 crore. The shares were allotted on 02 Nov 2026.

The company says the investment is intended to support MPPL's overall business operations and growth, to help it enhance its capabilities, scale its operations and meet business and regulatory requirements. It also expects the funds to facilitate expansion of MPPL's activities and improve operational efficiency.

The filing says this is an additional investment that follows an intimation on the outcome of a Board meeting dated 28 Oct 2026. Two promoters, Vidit Aatrey and Sanjeev Kumar, are directors on MPPL's board, and Vidit Aatrey holds one share as the company's nominee. The filing says the transaction is at arm's length and that no governmental or regulatory approval is needed.

    MPPL's size against the step

MPPL's reported turnover was ₹11.05 crore in FY2025-26, up from ₹2.36 crore in FY2024-25 and ₹19.95 lakh in FY2023-24. It posted a net loss of ₹24.65 crore for the same year. The new subscription of ₹40 crore is larger than the loss reported for FY2025-26.

Meesho's latest reported quarter, Q2 FY27 on a consolidated basis, showed a net loss of ₹132.45 crore on total income of ₹4,259.00 crore. The MPPL investment is a small part of the group's scale, and the filing does not say how it relates to the group's cash position.

What the MPPL investment means for Meesho's shareholders

The company's cash has gone into a wholly owned subsidiary, so its holding does not change and the money stays within the group. The subsidiary's loss in FY2025-26 is the context a reader would weigh against the new capital.

Not stated: whether further rights issues or capital infusions are planned, how the company funded the payment beyond the cash consideration, and why the size of the issue was set against MPPL's net loss. The filing gives no next dated step.
