Nazara Technologies Limited has told the exchanges that its board, at a meeting on 12 Oct 2026, approved the allotment of 2,38,81,711 fully paid-up equity shares of ₹2 each on a preferential basis, by private placement, at an issue price of ₹306 per share, including a premium of ₹304. The allotment follows the company’s earlier disclosure of 6 Aug 2026, and the total amount is ₹7,30,78,03,566, or about ₹730.78 crore.
There are five allottees: Mr. Raymond Albaladejo Stauffer, who receives 1,90,67,969 shares for about ₹583.48 crore, Mr. Marc Sylvester Schutze, 28,32,273 shares for about ₹86.67 crore, Mr. Maxime Loppin, 10,03,628 shares for about ₹30.71 crore, Mr. Alexandre Paul Jean Noirot Cosson, 7,10,946 shares for about ₹21.75 crore, and Mr. Alexander Osou, 2,66,895 shares for about ₹8.17 crore. The shares rank equally with the existing shares and are subject to the lock-in rules for preferential issues. BSE and NSE gave in-principle approvals on 29 Sep 2026, and the company will now apply for listing and trading approval.
The allotment raises the issued and paid-up equity share capital from ₹76,93,92,048, made up of 38,46,96,024 shares, to ₹81,71,55,470, made up of 40,85,77,735 shares. The board also approved putting up to USD 77.00 million, about ₹742.72 crore, into Nazara Technologies UK Limited.
Inference
The new shares are about 6.2% of the number outstanding before the allotment, so existing holders’ percentages fall by that proportion unless they take part. The largest allottee takes about 80% of the issue.
The money raised, about ₹731 crore, is close to the size of the planned investment of up to about ₹743 crore in the UK subsidiary, but the filing in the part reviewed here does not link the two or say what the UK subsidiary will use the funds for.
