Terms and security of the facility

The facility is secured by a first pari passu charge on the company's movable fixed assets and current assets, except those with an exclusive charge held by existing lenders. It also has a first pari passu charge on cash flows upstreamed from project SPVs, including subsidy receipts from PM KUSUM projects and top-up debt raised at SPV level.

A first exclusive charge covers the unsecured loan the company infuses into Energy In Motion Limited from the proceeds. Mr. Narendra Murkumbi, a promoter, has given an unconditional and irrevocable personal guarantee, and Khandepar Investments Private Limited, a promoter entity, has given an unconditional and irrevocable corporate guarantee. The promoter's shareholding in the company is pledged at 1x cover of the outstanding facility amount.

Lender rights and related party status

Under the agreement, Tata Capital Limited may appoint its nominee to the company's board if an event of default occurs and while it continues. The company says Tata Capital is not related to any promoter, promoter group or group company.

The filing says the loan's use is an infusion into Energy In Motion Limited, a jointly controlled entity, so the company is the borrower here, not the lender.

What the loan means for Ravindra Energy's shareholders

The filing does not say how much has been drawn, the tenure or repayment schedule, how much of the loan will go into Energy In Motion Limited, or why the company is borrowing beyond the stated use.

The filing does not give the effect of the loan on the company's finances or results.
