Sales grew faster than profit, and the gap opens below the operating line. Revenue from operations rose 19.0% to ₹697.56 crore but net profit only 5.5% to ₹38.91 crore, and profit before tax slipped 0.8% to ₹48.80 crore from ₹49.20 crore. Depreciation rose ₹11.87 crore to ₹30.10 crore (+65.1%) and finance costs ₹2.59 crore to ₹8.68 crore (+42.5%), which is why pre-tax profit did not grow with income.
A lower tax rate carried the profit. Tax took 21.2% of profit before tax against 26.0% a year earlier; at the earlier rate the charge would have been about ₹2.3 crore higher. The filing does not explain the lower rate.
Against Q1 FY27 total income was flat (down 0.3%) while net profit rose 10.9% to ₹38.91 crore from ₹35.10 crore, helped by lower finance costs (₹8.68 crore from ₹10.98 crore) and a lower tax rate (21.2% against 26.6%), partly offset by depreciation up 17.5%. For H1 FY27 total income is ₹1,398.55 crore (+23.5%) and net profit ₹74.01 crore (+5.0%).

Standalone profit grew faster than the group's: net profit rose 9.5% to ₹34.23 crore on income up 18.1% to ₹496.96 crore, with the tax rate steady (25.8% against 25.5%) and profit before tax up 10.0% to ₹46.15 crore. Depreciation rose 46.2% to ₹10.73 crore, but finance costs fell to ₹2.08 crore from ₹2.49 crore. For H1 FY27 standalone profit is ₹68.50 crore, up 19.2%, against 5.0% for the group.
The subsidiaries add income but little profit and most of the borrowing. They add ₹201.20 crore of total income but only ₹4.68 crore of net profit, a net margin of 5.6% for the group against 6.9% standalone, and the group's finance costs of ₹8.68 crore are about four times the company's own ₹2.08 crore. All of the consolidated profit belongs to the owners, with no minority share.
The group deals in specialty chemicals and reports one segment. The consolidated results include four foreign subsidiaries, two step-down foreign subsidiaries, four Indian subsidiaries, an associate and a joint venture; Rossari (Singapore) Pte Ltd, one of the foreign subsidiaries, was incorporated on 18 Dec 2025. The same board meeting approved the leasing of land by Rossari International Limited Company, a wholly owned subsidiary, for a greenfield manufacturing facility in Saudi Arabia; the project plan, including its nature and the overall investment, will go to the board once finalised. During the quarter 2,500 equity shares were allotted to employees who exercised options. The results were reviewed by the audit committee and the statutory auditors carried out a limited review.
Inference
The group's profit is growing less than a third as fast as its sales: depreciation and finance costs are rising faster than income, and a lower tax rate is doing part of the work. The filing gives no product or volume breakdown, so it does not say what is behind the higher depreciation, or whether the Saudi Arabia facility will add to it.
For shareholders, the cost and timing of the Saudi project are not yet known, so its effect on future depreciation, interest and funding cannot be read from this announcement.
