- Cement And Cement Products

Sagar Cements (NSE: SAGCEM) has received observation letters from BSE and NSE on the proposed amalgamation of Andhra Cements Limited with and into Sagar Cements, it said in a filing on 06 Nov 2026. BSE's letter, dated 05 Nov 2026, carries 'no adverse observations' and NSE's, dated 06 Nov 2026, 'no objection'. The scheme still needs NCLT approval.
The observation letters and SEBI's conditions
The BSE letter is dated 05 Nov 2026 and the NSE letter 06 Nov 2026; both were issued under Regulation 37(1) of the SEBI (LODR) Regulations, 2015. Both follow SEBI's letter of 30 Oct 2026 on the draft scheme under Sections 230 to 232 of the Companies Act, 2013.
SEBI's comments require the scheme to disclose all pending adjudication, recovery, prosecution and enforcement actions against the entities, their promoters and directors. They also require the scheme to be made expressly subject to NOCs from lending banks and financial institutions, and to the report on complaints. The financials in the scheme and its valuation report must be no more than 6 months old, and the new equity shares must be issued in demat form only.
The letters are valid for six months from their dates, within which the scheme must be submitted to NCLT. NSE says the companies need not send notice for representation under section 230(5) again, and that it may raise objections at any stage if the information submitted is incomplete, incorrect, misleading or false. The company must put NSE's no-objection letter on its website within 24 hours of receiving it. The letters are enclosed with the filing and are on www.sagarcements.in.
How the step fits the company
Sagar Cements reported a consolidated net loss of ₹28.10 crore on total income of ₹708.45 crore for Q1 FY27, up 5.0% year on year. Its market value was ₹1,797 crore at the 06 Nov 2026 close. The filing itself does not tie these figures to the scheme.
What the observation letters mean for Sagar Cements's shareholders
The letters clear the draft scheme at the regulators' stage only; the scheme still needs NCLT approval and the statutory approvals the filing mentions. The filing does not state the share swap ratio, the reason for the amalgamation, or the effect on shareholders, and it does not say whether the adjudication and enforcement disclosures or the lenders' NOCs are in place. The next dated step is the six-month validity of the letters, within which the scheme must go to NCLT.
