SG Mart (NSE: SGMART) said in a filing on 27 Oct 2026 that its board approved buying 24.5% of SG Enterprise Solutions Private Limited and 16.67% of APL Apollo Foundation, both for cash and both from related parties, with completion expected by 31 Dec 2026. The board also approved up to ₹10 crore more for its subsidiary SG Buildkart Private Limited.
Two minority stakes, both bought from related parties
The 24.5% stake in SG Enterprise Solutions Private Limited is 12,250 equity shares bought from S Gupta Holding Private Limited for ₹1,22,500 in cash. The company says S Gupta Holding is a promoter group company, which makes the deal a related party transaction, and that it will be done at arm's length. The target was incorporated on 10 Sep 2026 and has not yet started operations. It is to act as a group shared services company, providing common corporate support to group entities, and would become an associate of SG Mart.
