    What the scheme combines

Ace Alpha Tech develops and customises technology-driven solutions for financial markets, including automated trading systems for institutional investors, HNIs and retail traders. Share India Securities is a financial services company focused on capital markets, with stock broking, derivatives broking, depository services and portfolio management.

The Transferor Company's net worth was ₹81.50 crore at 30 Sep 2026 (unaudited), and its total income was ₹27.06 crore for the year ended 31 Mar 2026 (restated). Share India's consolidated total income was ₹849.95 crore for the half year ended 30 Sep 2026 (unaudited). The company's stated rationale is the integration of complementary business activities and technology capabilities within one entity.

    Share exchange and shareholding

Under the proposed ratio, Share India would issue 863 equity shares of ₹2 face value for every 1,000 shares of ₹10 face value held in Ace Alpha Tech. Fractional entitlements will be aggregated and held by a trust nominated by the Board, which will sell the shares in the market within 90 days of allotment.

On the proposed numbers, Share India's total equity would rise from 223,227,530 shares to 238,085,251 shares. The promoter and promoter group share would fall from 47.66% to 45.96%, and the public share would rise from 52.34% to 54.04%. The filing notes that some promoter group members hold shares in Ace Alpha Tech, and that the Promoter Group has no other interest in that company.

At the 06 Nov 2026 close, Share India's market value was ₹4,030 crore at ₹184.15 a share, according to Blacklitt's data. Its latest reported quarter, Q1 FY27 on a consolidated basis, showed total income of ₹451.55 crore.

What the amalgamation means for Share India Securities' shareholders

For Share India's shareholders, the scheme would increase the number of equity shares and lower the promoter group's percentage holding, on the proposed figures. The boards of both companies believe the amalgamation is commercially justified, subject to approvals and the Scheme's terms.

The filing does not say when the scheme is expected to take effect, how the swap ratio was valued, or how many Ace Alpha Tech shares are outstanding. The next step is an application under Regulation 37 of the Listing Regulations, which the company says will be filed in due course.
