Inference
The board approved the acquisition of 100% of the equity of Sansha Fastener Private Limited, which would then be a wholly owned subsidiary. The company says the purpose is to add fastener capacity in South India to its existing fasteners business. The consideration is ₹15.50 crore, paid through banking channels and subject to an MOU or share purchase agreement, with an indicative completion date of 31 Dec 2026.
The target's turnover was ₹2.08 crore in FY 2023-24, ₹4.66 crore in FY 2024-25 and ₹6.93 crore in FY 2025-26, a rise of 48.7% in the latest year. The filing says no governmental or regulatory approvals are required and that the promoter group has no interest in the target. The results carry a limited review report from JKVS & Co., statutory auditors. The company's market value was ₹5,560 crore at the 30 Oct 2026 close of ₹492.50 a share.
The filing does not say how the ₹15.50 crore will be funded or what the exceptional items in the year-earlier quarter were.
