Steamhouse India (NSE: STEAMHOUSE) has incorporated Steamhouse (Panoli WTS) India Private Limited as a wholly owned subsidiary, it said in a filing on 06 Nov 2026. The company says the incorporation aligns directly with its core operational objects and long-term expansion strategy. The subsidiary's initial subscribed capital is ₹1 lakh.

The subsidiary's stated business and capital

The subsidiary's objects are to establish, operate and manage waste-to-steam generation plants, industrial boilers, waste processing facilities and allied infrastructure. They also cover generating, supplying and distributing steam, thermal energy, power and industrial gases, and executing turnkey EPC and O&M services.

Its authorised capital is ₹10 lakh, divided into 1,00,000 equity shares of ₹10 each. Steamhouse India holds 9,999 shares, or 99.99%, for a subscription of ₹1 lakh at par, paid in cash. Vishal Sanwarprasad Budhia holds the remaining 1 nominee share. The certificate of incorporation was issued by the Registrar of Companies, Gujarat at Ahmedabad.

    How it fits the company

Steamhouse India's latest reported quarter, Q2 FY27, showed consolidated total income of ₹129.49 crore and net profit of ₹7.77 crore, and the company's market value was ₹3,661 crore at the 05 Nov 2026 close. Against that base, the subsidiary's ₹1 lakh of initial capital is small. The filing does not say how the subsidiary will be funded beyond this amount.

What the subsidiary means for Steamhouse India's shareholders

The capital put in at incorporation is nominal, and the filing gives no expected financial impact on the parent. It does not say when the subsidiary will start operations, which projects or plant locations it will pursue, or why Panoli and this line of business were chosen.
