Target's size against the cost
SAAL reported revenue from operations of ₹153.41 crore and profit after tax of ₹25.69 crore for FY 2025-26, according to the filing. For the period to 30 Sep 2026, which is unaudited, the figures were ₹99.36 crore of revenue and ₹21.08 crore of profit after tax.
Its net worth was ₹43.98 crore at FY 2025-26 end and ₹59.67 crore at 30 Sep 2026. The maximum cost of ₹75 crore is above that net worth, but the filing does not give the price per share or the valuation basis.
Structure and business of the target
SAAL was incorporated on 24 Jan 2018 and manages Alternative Investment Funds and Portfolio Management Services for High Net-worth Individuals, Ultra-High Net-worth Individuals, family offices and institutions, with operations in India.
The company says the purpose is to simplify the group shareholding structure so that SAAL becomes a direct subsidiary of Sundaram Finance rather than a step-down subsidiary. Mr. Harsha Viji, Executive Vice-Chairman and a member of the Promoter Group, chairs SAAL and is interested in it to the extent of that directorship, and the company says the deal is at arm's length.
What the acquisition means for Sundaram Finance's shareholders
The company will hold SAAL directly once the deal completes, and the cost is capped at ₹75 crore against a group with a market value of ₹45,073 crore at the 03 Nov 2026 close. The filing does not say how the cost will be funded, what price per share is paid, or what effect the deal will have on consolidated results.
The next dated step is the indicative completion by 31 Mar 2027, subject to SEBI approvals under the Mutual Fund, Portfolio Managers and Alternative Investment Fund regulations.
