Conditions and filings behind the Effective Date

The NCLT order approving the scheme was dated 01 Oct 2026. RIL filed the certified copy with the Registrar of Companies on 28 Oct 2026, and the ROC-MCA approved it and took it on record. Tata Steel filed its certified copy on 03 Nov 2026, and the scheme became operative from that date under Clause 8 read with Clause 9.1(h).

The filing says the conditions in Clause 9.1(h) read with Clause 21 were fulfilled before the Effective Date. Those conditions are set out in the scheme and are not listed in the filing.

Change to the authorised share capital

Under the scheme, the authorised equity share capital of RIL, ₹1.55 crore, merged with Tata Steel's authorised share capital in ordinary equity shares of ₹1 each. The authorised share capital of Tata Steel will be ₹32,621.05 crore, and its Memorandum of Association stands amended accordingly.

The filing gives the authorised capital only. It does not give the paid-up capital or the number of shares issued under the scheme.

What the merger means for Tata Steel's shareholders

The step merges a wholly owned subsidiary into the parent and changes the authorised share capital that Tata Steel is permitted to issue. The filing does not state the consideration or share exchange ratio, the appointed date, the effect on Tata Steel's results, or whether all of RIL's assets and liabilities pass to Tata Steel.

The filing reports no further dated step after the Effective Date of 03 Nov 2026.
