Tempsens Instruments (India) (NSE: TEMPSENS) has appointed Aryan Rathi as an Additional Director designated Executive Director cum Lead-Global Sales for five years from 30 Oct 2026, accepted the resignation of Non-Executive Director Ankit Talesara, and appointed P C Modi & Co as joint statutory auditor, it said in a filing on 30 Oct 2026. Rathi's appointment as a director is subject to shareholder approval.

Director appointment and resignation

Aryan Rathi, who has been with the company since 1 May 2024 and was appointed Lead-Global Sales on 1 Apr 2025, has been appointed an Additional Director for five consecutive years, from 30 Oct 2026 to 29 Oct 2031, subject to shareholder approval. The company says he will continue to oversee the Global Sales function and that his cessation as Senior Management Personnel from the same date is consequential to the directorship, not a cessation of employment or of Global Sales responsibilities.

Ankit Talesara resigned as Non-Executive Director with effect from 30 Oct 2026, citing personal reasons. Rathi holds a bachelor of science degree from Texas A&M University and has over two years of experience in the electrical industry. He has also recently been appointed a Nominee Director of Tempsens Measurement and Control Private Limited, formerly Techin Gauges India Private Limited. He is the grandson of Virendra Prakash Rathi and the son of Vinay Rathi, and has confirmed he is not debarred from holding director office.

Joint statutory auditor appointed

M/s P C Modi & Co (Firm Registration No. 000239C), Chartered Accountants, has been appointed joint statutory auditor under Section 139 of the Companies Act, 2013, until the conclusion of the ensuing Annual General Meeting, subject to shareholder approval by postal ballot. The firm is Jaipur-based, was established in 1976, has 75+ professionals and a Delhi NCR branch, and has served leading public sector banks, insurance companies and government undertakings.

What the changes mean for Tempsens Instruments (India)'s shareholders

The changes add an executive director for global sales and a joint statutory auditor, and remove a non-executive director.
