What the order follows
The order is the latest step in a dispute that began with a show cause notice dated 3 Nov 2023. That notice proposed stamp duty of ₹13.62 crore and a penalty of ₹6.81 crore on the instrument behind the Chennai NCLT order of 26 Apr 2019, which sanctioned the demerger of Tenneco Automotive India Private Limited into the company.
The Collector confirmed the demand by an order dated 2 Feb 2024. The company then challenged the notice and that order before the Bombay High Court. On 5 Dec 2025 and 6 Apr 2026 the court directed the Collector to pass a reasoned order after hearing the company, leaving all contentions open. The 27 Oct 2026 order is that reasoned order.
The amount rose sharply
The penalty in the final order is ₹24.36 crore, against ₹6.81 crore proposed in the notice. The company says it believes it has adequate legal grounds to challenge or contest the order and is evaluating appropriate legal remedies.
The company is listed on NSE and BSE with a market value of ₹18,505 crore at the 03 Nov 2026 close. Its latest reported quarter, Q1 FY27, showed consolidated total income of ₹1,553.41 crore and net profit of ₹165.24 crore, so the ₹37.2 crore payable is about 0.2% of the market value.
What the order means for Tenneco Clean Air India's shareholders
The order sets a payable sum of ₹37.2 crore on a dispute over stamp duty on a 2019 demerger. The company has not said whether it has filed a challenge or appeal, whether any provision has been made for the amount, or what the financial impact on profit will be; the filing does not give these, nor a timeline for legal remedies.
