Triveni Power Transmission (NSE: TRIVENIPT) said in a filing on 05 Nov 2026 that it has distributed the sale proceeds of fractional shares to eligible shareholders under a composite scheme of arrangement. Net proceeds of ₹1.98 crore were paid out on 30 Oct 2026, and the Audit Committee and Independent Directors have filed reports certifying the distribution.

    How the fractional shares arose

The scheme took effect on 19 May 2026, when the power transmission business of Triveni Engineering & Industries transferred to Triveni Power Transmission. Shares were allotted on 28 Jul 2026 in a ratio of one share of the resulting company, with face value ₹2, for every three shares of the demerged company, with face value ₹1, held on the record date of 22 Jul 2026.

The 35,852 shares arising from consolidating those fractions were credited to a trustee demat escrow account held by Mitcon Credentia Trusteeship Services Limited, which was to sell them in the open market within 90 days.

    What was paid out

The filing gives gross sale proceeds of ₹1.99 crore, with TDS of ₹85,698 deducted, leaving net proceeds of ₹1.98 crore. The reports say the net proceeds, after expenses, were distributed to eligible shareholders in proportion to their fractional entitlements.

The reports are made to meet that circular's requirements.

What the fractional share payout means for Triveni Power Transmission's shareholders

Shareholders with fractions received their share of the net proceeds on 30 Oct 2026.

The filing does not say the sale price per share, the amount of expenses deducted, or whether any proceeds remain unclaimed. The company's latest quarter, Q2 FY27, reported consolidated total income of ₹119.28 crore and net profit of ₹26.06 crore, but the filing does not link these to the payout.
