Ugro Capital (NSE: UGROCAP) published newspaper notices of a National Company Law Tribunal hearing on its scheme of amalgamation with Profectus Capital Private Limited, it said in a filing on 24 Oct 2026. The petition is fixed for hearing before NCLT Mumbai Bench on 20 Nov 2026 at 10:30 AM.

The hearing and the scheme

The notices appeared on 24 Oct 2026 in Business Standard (English) and Navshakti (Marathi). The joint petition, Company Scheme Petition No. 155 of 2026, was admitted by NCLT Mumbai Bench on 9 Oct 2026 and is fixed for hearing before Bench I on 20 Nov 2026 at 10:30 AM.

The scheme is a Scheme of Amalgamation between Profectus Capital Private Limited as the transferor company and UGRO Capital Limited as the transferee company, with their shareholders and creditors, under Sections 230 to 232 read with Section 52 of the Companies Act, 2013.

How persons can respond

Anyone wishing to support or oppose the petition must send notice of intention to the Authorized Representative no later than two days before the hearing date. Opposition grounds or an affidavit must accompany the notice.

A copy of the petition with all exhibits can be obtained from the Petitioner's Authorized Representative on payment of the prescribed fees. The notice is signed by the Company Secretary of Profectus Capital Private Limited and the Chief Executive Officer of UGRO Capital Limited.

What the NCLT notice means for Ugro Capital's shareholders

The notice is a step in the court process for the scheme. It does not change the company's capital or operations as such. The filing does not say what share exchange ratio or consideration applies, when the amalgamation would take effect, why it is proposed, what the financial impact on Ugro Capital's results would be, or how the hearing will be decided.
