Websol Energy System (NSE: WEBELSOLAR) approved on 4 Nov 2026 a 40% subscription to the equity of Bright Earth Cell Private Limited, an energy trading company, and the incorporation of wholly owned subsidiaries for its other solar businesses, it said in a filing on 04 Nov 2026.

The investment and the planned subsidiaries

The board approved entry into EPC, solar independent power producer work including solar parks, and energy trading, which the company describes as expansion across the broader solar energy value chain. For energy trading, the company will subscribe to 40% of the equity share capital of Bright Earth Cell Private Limited, with the shares to be paid in cash, in one or more tranches, at face value of ₹10 each. For the other businesses, the board approved incorporating special purpose vehicles as wholly owned subsidiaries.

Bright Earth Cell was incorporated on 17 Jun 2025 and has not started business operations. Its object clause permits power trading, and it reported no turnover for the year ended 31 Mar 2026. It is in the process of changing its name to Bright Green Power Trading Private Limited. Because of common directorship and promotership it is a related party, and the company says the investment will be at arm's length. On subscription it will become an associate of Websol Energy System.

    How it fits the company

The company's latest quarter, Q1 FY27 on a consolidated basis, showed total income of ₹376.98 crore and net profit of ₹77.79 crore, and its market value was ₹2,978 crore at the 04 Nov 2026 close. The filing does not give the amount to be invested, so its size against these figures is not known. The company's standalone and consolidated results for the quarter ended 30 Sep 2026 were filed the same day.

What the Bright Earth Cell stake and the SPVs mean for Websol Energy System's shareholders

The company is committing to a related-party associate stake in a company with no operations yet, and to new subsidiaries for other solar businesses. The filing does not say how much cash will be put in, how many shares will be subscribed, the paid-up capital of Bright Earth Cell, the number or capital of the SPVs, or when they will be incorporated, and it is not known whether the subscription has been completed. The next dated step is the subscription, indicated within 90 days.
