Zen Technologies Limited has told the exchanges that its board approved on 17 Oct 2026 the acquisition of a 51.98% stake, on a fully diluted basis, in Cogknit Semantics Private Limited for cash of up to ₹135.15 crore. The deal combines the purchase of equity shares from an existing shareholder with subscription to Series A compulsorily convertible cumulative preference shares of the target. The company signed a share purchase agreement, a share subscription agreement and a shareholders' agreement the same day.

Cogknit, incorporated in 2009 and based in Bengaluru, develops AI-enabled battlefield management and situational-awareness systems for the armed forces. Its turnover was ₹0.48 crore in FY26, ₹0.78 crore in FY25 and ₹2.24 crore in FY24. Zen says the deal extends its defence portfolio into battlefield management and complements its training, simulation and anti-drone businesses. On completion Cogknit becomes a subsidiary.
