360 One Wam (NSE: 360ONE) allotted 2,05,02,939 equity shares to UBS AG on conversion of warrants at ₹1,030 per share, it said in a filing on 22 Oct 2026. The aggregate consideration is ₹2,111.80 crore, and the balance 75% of the exercise price, ₹1,583.85 crore, was received from UBS AG before the allotment.

Warrants converted after the 2025 preferential allotment

The allotment completes the conversion of warrants that 360 One Wam allotted to UBS AG on a preferential basis on 21 Jul 2025, with 25% of the exercise price paid at that time. The balance 75%, of ₹1,583.85 crore, was received before the shares were issued.

The Stakeholders Relationship Committee of the Board allotted the shares on 22 Oct 2026 by a resolution passed by circulation. The annexure gives the aggregate consideration for the conversion as ₹2,111.80 crore. The filing says the new shares rank pari passu with the existing equity shares in all respects.

Share capital and UBS AG's holding

Paid-up equity share capital rises from ₹407.91 crore, made up of 40,79,14,200 shares, to ₹428.42 crore, made up of 42,84,17,139 shares of Re 1 each. The increase equals the 2,05,02,939 shares allotted to UBS AG.

After the allotment UBS AG holds 2,05,02,939 equity shares, approximately 4.8% of the paid-up equity capital. The press release calls the warrant exercise a milestone in the leading institutions' strategic collaboration, and describes 360 One as managing assets of more than ~₹9 lakh crore (USD 94.1 billion) for more than 9,000 families and corporates.

What the allotment means for 360 One Wam's shareholders

The allotment adds 2,05,02,939 equity shares and takes the number of shares outstanding to 42,84,17,139. The filing gives no effect of the allotment on results, net worth or earnings per share, no reason for converting the warrants at this time, no use for the ₹2,111.80 crore consideration, and no effect on control or on other shareholders' percentage holdings.
