Aditya Infotech (NSE: CPPLUS) has agreed to acquire a 30% stake in KGraph AI Solutions Private Limited for an aggregate cash consideration of ₹45.39 crore, it said in a filing on 05 Nov 2026. The company says the target's AI video-analytics business will be combined with its CP PLUS surveillance products.

    What the deal involves

The stake is 5,798 securities out of 19,325 on a fully diluted basis, after an employee stock option pool is created. It is made up of 1,031 equity shares of ₹10 each, 515 Series 1 CCPS of ₹10 each and 4,252 Series 2 CCPS of ₹10 each. The company executed a Share Subscription and Share Purchase Agreement and a Shareholders' Agreement with KGraph, its promoters and certain existing selling shareholders.

The target was incorporated on 16 Aug 2023 and develops AI-powered software for compliance, automation, safety, monitoring and regulatory reporting. Its main product is BLUE, an enterprise video-analytics platform. Its turnover was ₹79.98 lakh in FY 2025-26, up from ₹36.01 lakh in FY 2024-25, and its paid-up share capital is ₹1.16 lakh. The consideration is based on a valuation report from a registered valuer.

Why the company says it matters

The company describes the purchase as a strategic investment for a commercial and technology collaboration, under which the target's video analytics would be integrated with CP PLUS products. It says the target's business is complementary to, and not outside, its main line of business. The acquisition is expected to be completed within 30 days of the SSPA's execution, or on a later date the parties agree.

The consideration is small against the company's market value of ₹49,149 crore. The company's latest quarter, Q1 FY27 on a consolidated basis, reported total income of ₹1,406.53 crore, so the target's FY 2025-26 turnover is a small fraction of the group's revenue.

What the KGraph stake means for Aditya Infotech's shareholders

The company is paying ₹45.39 crore in cash for a minority holding in a small AI software company, and the deal is described as complementary to its existing business. The filing does not say how much further the company will invest in KGraph, what revenue or profit the target will add, or why a 30% stake was chosen over a larger one. Whether the deal has been completed as of the filing date is not stated.

The next dated step is completion, expected within 30 days of the SSPA's execution.
