Consolidated total income rose 10.8% year on year to ₹276.51 crore, but net profit fell 3.8% to ₹96.41 crore. Profit before tax rose 1.9% to ₹119.56 crore, while tax expense rose 35.4% to ₹23.15 crore, so the gap between the two profit lines widened. Set side by side, the growth in revenue from operations of 16.6% sits against a 67.4% fall in other income, which is now 2.1% of total income.
Finance costs of ₹40.34 crore are 14.6% of total income this quarter, against ₹18.59 crore a year earlier. Consolidated depreciation was ₹38.13 crore in both the current and year-earlier quarters.
The consolidated comparatives for the year-earlier and previous quarters were restated under common control pooling of interest for the Pipavav and Hindustan Aegis LPG acquisitions. The auditor's limited review of the consolidated results is unmodified; two subsidiaries were reviewed by another auditor, whose reports the management furnished.

Inference
The filing says the company acquired 96% of Aegis Terminal (Pipavav) Limited, effective 13 Nov 2025, and that Hindustan Aegis LPG Limited became a subsidiary effective 6 Jan 2026. It also says that under a share purchase agreement dated 27 Mar 2026 the company agreed to transfer 10% of Aegis Terminal (Pipavav) Limited to Itochu Corporation for ₹80.32 crore; the filing does not say whether that transfer has completed.
The company has two series of secured NCDs: 66,000 debentures (INE0INX07015) and 1,03,000 debentures (INE0INX07023), each of ₹1 lakh face value. The filing says a prepayment notice has been given for partial redemption on the call option date of 9 Nov 2026, with ₹157.5 crore of fixed deposits under lien with HDFC Bank Limited. The filing does not say the amount of the partial redemption or how it will be funded beyond those deposits, and it does not give a reason for the profit decline.
