A loan turned into equity inside the group
The Board approved converting a pre-existing loan of ₹102.46 crore, extended by the company to its wholly owned subsidiary Sri Sainatha, into 10,24,62,779 equity shares of ₹10 each issued by Sri Sainatha to the company. The filing says the conversion is part of internal capital restructuring, does not change ownership or control, and is proposed on an arm's length basis with no fresh infusion of funds.
The conversion is based on a valuation report from Krol Advisory Private Limited. The filing puts the completion period at within 3 months.
Closing the DMERF agreements
The Board approved terminating, by mutual consent, the Operation and Management Services Agreement dated 4 Mar 2016 and the Medical Services Agreement dated 1 Apr 2026 with DM Education and Research Foundation, and the cessation of operations under them. Termination is subject to closure documents and settlement of rights, obligations and outstanding dues.
The company says the closure is in line with its corporate governance priorities, that efforts are being made to reduce related party transactions within the Group, and that closure will eliminate the ongoing stream of related party transactions with DMERF. Blacklitt's data shows the company's Q1 FY27 consolidated total income at ₹1,347.71 crore.
What the Postal Ballot covers
The Board approved seeking shareholder approval for special business through a Postal Ballot. The Notice of Postal Ballot will be sent to shareholders and stock exchanges in due course, so its resolutions are not yet known.
What these decisions mean for Aster DM Quality Care's shareholders
The loan conversion keeps the company at 100% of Sri Sainatha and moves ₹102.46 crore from loan to equity in the subsidiary.
Not stated: the financial effect of ending the DMERF agreements on revenue or results, the revenue those agreements earned, any settlement amounts, the Krol Advisory valuation per share, and the Postal Ballot date and resolutions. The next dated step is the Postal Ballot notice, which has no date yet.
