Belding India (NSE: BELDING) has kept in abeyance the draft Scheme of Amalgamation with DC&T Global Private Limited, its board deciding at a meeting on 03 Nov 2026, it said in a filing on 04 Nov 2026. The filing is an update to the intimation of 30 Jul 2026 on the merger by absorption.

The board's decision and its stated reason

The board of Belding India considered the draft scheme at its meeting held on 03 Nov 2026 and approved keeping it in abeyance. The meeting began at 09:30 P.M. (IST) on 03 Nov 2026 and concluded at 12:50 A.M. (IST) on 04 Nov 2026.

The company says that, after considering the commercial and operational aspects and the growth opportunities available to DC&T, the amalgamation at this stage could have an operational impact on the opportunities available to DC&T. To avoid that impact, the board decided to keep the draft scheme in abeyance.

The company says the draft scheme at this stage is not pursued and has no impact, financial or otherwise, on the operations of Belding India or DC&T Global Private Limited. It will reconsider the proposed transaction at an appropriate time, and any further action will need the requisite approvals of the board and other authorities, as applicable.
