The standalone loss widened from a year earlier even though total income rose. Total income of ₹0.34 crore was all other income, and the loss before tax of ₹0.88 crore was larger than the ₹0.13 crore loss a year earlier. A deferred tax credit of ₹0.26 crore reduced the loss to ₹0.62 crore.

The filing reports ₹45.45 lakh of finance costs and gives no reason for them.

The auditor's review report on the standalone results is qualified. It says confirmation and reconciliation of vendors, inter-corporate deposits, loans and advances balances outstanding at period end are under process. The auditor also states that the audit report for the year ended 31 Mar 2026 was qualified on the same matter.

The loss from continuing operations for the half year ended 30 Sep 2026 is ₹80.56 lakh, against ₹13.18 lakh in the half year ended 30 Sep 2025. The notes say the company discontinued its foils manufacturing operations during FY 2025-26, and these are presented as discontinued operations under Ind AS 105.

    Inference

The company acquired a 100% equity stake in Evolve IT Solutions Private Limited during the quarter, and the auditor notes the acquisition was completed on 24 Jul 2026. The other auditor's interim figures for that company, for 24 Jul 2026 to 30 Sep 2026, show total revenues of ₹65.26 lakh and a net profit after tax of ₹1.02 crore.

Standalone non-current borrowings were ₹26.18 crore at 30 Sep 2026, against nil at 31 Mar 2026, and the cash flow statement shows proceeds from borrowings of ₹26.73 crore and inter-corporate deposits given of ₹14.61 crore in the half year. The filing does not say what the borrowings were used for, and it does not say why the scheme of amalgamation was kept in abeyance or whether it will be revived.
