Century Plyboards (India) to set up Singapore and Hong Kong subsidiaries

    • Mergers & acquisitions
    • Furniture fittings and laminates

Century Plyboards (India) (NSE: CENTURYPLY) proposes to incorporate a wholly owned subsidiary in Singapore, CP Singapore Pte Limited, and a step-down subsidiary in Hong Kong, HKFF Limited, it said in a filing on 04 Nov 2026. The Singapore company is to market, distribute and sell Century's laminates and related products in overseas markets.

The two entities and their stated business

The Singapore company, CP Singapore Pte Limited, will be incorporated with an objective of marketing, distribution and sale of Century's laminates and other related products in the relevant overseas markets. Century Plyboards (India) will directly hold 100% of its equity share capital.

The Hong Kong company, HKFF Limited, will be incorporated with an objective of trading of furniture fittings, hardware and other related products. It is proposed as a wholly owned subsidiary of Centuryply Furniture Fittings Ltd., which is itself wholly owned by Century Plyboards (India), so the parent holds it indirectly.

Each initial paid-up share capital is 100% subscribed in cash, at SGD 1 and HKD 1 a share respectively.

    How it fits the company

Century Plyboards (India) reported consolidated total income of ₹1,563.55 crore for Q1 FY27, up 33.5% year on year, and net profit of ₹83.30 crore, up 57.4%. The company also filed its unaudited results for the quarter and half year ended 30 Sep 2026 on the same day, 04 Nov 2026.

The company's market value is ₹14,426 crore at the 03 Nov 2026 close of ₹648.30 a share. The initial share capital of the two entities is nominal, at one unit of currency per share, against that size.

What the subsidiaries mean for Century Plyboards (India)'s shareholders

The filing sets out the new entities and their initial share capital, which is stated per share and not in total. The company's investment in the subsidiaries beyond that initial subscription is not stated, and neither is the business scale or revenue expected from them, nor why the Hong Kong company sits under Centuryply Furniture Fittings rather than directly under the parent.

The filing gives no date for incorporation of either entity. The next step it describes is the incorporation itself.
