Size of the bonus and the capital base

The bonus issue would double the number of shares, from 22,27,76,500 to 44,55,53,000 equity shares of ₹10 each. Paid-up capital would rise from ₹222.78 crore to ₹445.55 crore, which is the amount the bonus would add.

The free reserves and securities premium required for the bonus, ₹222.78 crore, are about 30% of the ₹745.88 crore the company states as available as on 31 Mar 2026, which the filing says is audited.

    Approvals and next steps

The Board also approved an increase in the authorised share capital to ₹447.80 crore, along with a change to the capital clause of the Memorandum of Association. The draft notice of the 1st Extra Ordinary General Meeting for FY 2026-27 was approved for these items.

The company estimates that the bonus shares will be credited or dispatched within 2 months from the Board approval date, provided shareholders approve the issue.

What the bonus issue means for Choice International's shareholders

Each shareholder would receive one new share for every share held, so the number of shares held would double, while paid-up capital is also stated to double. The filing does not say what the record date will be, which is to be intimated in due course, or when the 1st Extra Ordinary General Meeting will be held.

The next dated step is the EGM, at which shareholders must approve the bonus. The filing does not give the reason the company gives for the bonus issue, and it does not say whether shareholders will approve it.
