What the rating covers
ICRA has assigned an [ICRA]AA+ (Stable) rating to the ₹500 crore non-convertible debenture programme and reaffirmed the same rating on the ₹750 crore subordinated debt. The ₹2,500 crore commercial paper programme has been reaffirmed at [ICRA]A1+. Of the commercial paper, the annexure lists ₹660 crore as yet to be placed, and ₹300 crore of subordinated debt is also yet to be placed.
The rationale rests on the parent. Federal Bank Limited held 60.6% of the company as of September 2026, and ICRA expects the company to remain its subsidiary and to receive managerial, operational and financial support from the bank when required.
Capital, liquidity and asset quality
ICRA rates capitalisation adequate, with gearing of 4.7 times and CRAR of 21% as of September 2026. Managed gearing stood at 6.5 times. Liquidity is rated Strong: on-balance sheet liquidity was ₹1,408.2 crore and sanctioned and unavailed bank lines ₹1,913.0 crore at 30 Sep 2026, against principal repayments of ₹2,742.0 crore falling due in the subsequent three months.
Assets under management rose to ₹22,035 crore at 30 Sep 2026 from ₹20,153 crore at 31 Mar 2026. The gross stage 3 ratio was 1.8%. ICRA says gold loan delinquencies rose in H1 FY2027 because of customer behavioural adjustments, but does not expect a substantial impact on credit costs given the fully collateralised portfolio.
What the rating action means for Fedbank Financial Services' shareholders
ICRA says rating sensitivities could move in both directions, with positive pressure tied to an improvement in the parent's credit profile and negative pressure tied to a weakening of that profile or a significant change in shareholding.
The filing does not say what the NCD programme's coupon, maturity or issue terms will be, when or how much will be issued under it, or whether the rating will lower borrowing costs. The next dated step in the filing is not given.
