Hero MotoCorp (NSE: HEROMOTOCO) approved an additional investment of up to ₹300 crore in HMCL Netherlands B.V., its wholly owned subsidiary, in one or more tranches, it said in a filing on 28 Oct 2026. The money is for further investment in HMCL Colombia S.A.S. and Hero MotoCorp Do Brasil Ltda, the subsidiaries of HMCL Netherlands B.V.

Two step-down subsidiaries will receive the money

HMCL Netherlands B.V. is a private company incorporated in the Netherlands, with the primary objective of investing in step-down subsidiaries. Hero MotoCorp Ltd. holds it wholly, and that will not change after this investment.

HMCL Colombia S.A.S. and Hero MotoCorp Do Brasil Ltda are in the manufacture, sale and distribution of two-wheelers, accessories and parts. Hero MotoCorp Do Brasil Ltda is yet to commence business.

Turnover of the subsidiaries for the year ended 31 Mar 2026

HMCL Colombia S.A.S. reported turnover of ₹1,656 crore, up 146.4% from ₹672 crore a year earlier. HMCL Niloy Bangladesh Limited reported ₹826 crore, up 47.0% from ₹562 crore.

HMCL Netherlands B.V. reported NIL turnover for the same year, against ₹3.80 crore for the year ended 31 Mar 2025.

What the investment means for Hero MotoCorp's shareholders

The investment is up to ₹300 crore in cash, to be made in tranches over the coming 2 years, into a subsidiary that stays wholly owned. The same meeting approved unaudited standalone and consolidated results for the quarter and half year ended 30 Sep 2026, which are not covered here.

What is not known is how the ₹300 crore will be split across tranches and what effect the investment will have on results.
