Size of the issue against the share base

The issue would add up to 3,44,000 shares to the pre-issue total of 51,63,600 shares, taking the post-allotment total to 55,07,600 shares. The aggregate amount of ₹10.84 crore is the figure the filing gives for the whole issue.

The company's latest reported quarter, Q4 FY26 standalone, showed total income of ₹9.55 crore and net profit of ₹3.18 crore, so the issue amount is larger than that quarter's net profit.

Shareholding before and after the allotment

Promoter and promoter group holding falls from 64.96% to 60.90% on the filing's figures, while public shareholding rises from 35.04% to 39.10%. The pre-issue pattern is as on 30 Sep 2026.

The filing sets out the nine allottees by name, but does not give the holding of each after allotment.

    Approvals still pending

The issue is subject to approval by members in a general meeting, which the board has called for 04 Dec 2026. The draft notice will be submitted to the exchange later, according to the filing.

The board also appointed Chetan T. Mandlia, a practising company secretary, as scrutinizer for the e-voting process.

What the preferential issue means for Highness Microelectronics' shareholders

The issue would bring in up to ₹10.84 crore in cash and dilute the promoter group's percentage holding, as the filing's figures show. The filing does not say what the proceeds will be used for, and it does not say whether members will approve the issue.

The next dated step is the Extraordinary General Meeting on 04 Dec 2026; the filing does not give an allotment date.
