Hindware Home Innovation gets NCLT sanction order for composite scheme
- Mergers & acquisitions
- Building products and consumer durables
Hindware Home Innovation (NSE: HINDWAREAP) received a certified copy of the National Company Law Tribunal, Kolkata Bench, order sanctioning a composite scheme of arrangement with HHIL Limited and Hindware Limited, it said in a filing on 6 Nov 2026. The Tribunal passed the order on 14 Oct 2026, and the company earlier disclosed it on 16 Oct 2026.
What the scheme does
The scheme provides for the consumer products business of Hindware Home Innovation Limited to be demerged and transferred into HHIL Limited. The remaining business of the demerged company is to be amalgamated into Hindware Limited, and the remaining transferor company is to be dissolved without winding up.
The appointed date of the scheme is 1 Apr 2025. The company's board approved the scheme on 27 Mar 2025, and the equity shareholders and unsecured creditors approved it on 7 Mar 2026. The company says the scheme becomes effective once the certified copy of the order is filed with the Registrar of Companies, in accordance with its terms.
The Tribunal's order records that the Regional Director of the Ministry of Corporate Affairs and the Official Liquidator filed representations, and that Income Tax Authorities issued representations to the demerged company and Hindware Limited. The filing does not say how these representations were answered.
What the scheme order means for Hindware Home Innovation's shareholders
The order completes the sanction stage of the scheme. Only Hindware Home Innovation's equity shares are listed on BSE and NSE; the shares of HHIL Limited and Hindware Limited are not listed on any exchange.
Not stated: the share exchange ratio or the terms of any shares to be issued to shareholders, the value of the consumer products business being demerged, and the effective date and record date. The company will intimate the effective date and record date to the stock exchanges in due course.
