NCLT sanctions Hindware Home Innovation’s demerger scheme

Hindware Home Innovation Limited has told the exchanges that the National Company Law Tribunal (NCLT), Kolkata Bench, sanctioned its Composite Scheme of Arrangement by an order dated 14 Oct 2026. The order was uploaded on the NCLT website on 15 Oct 2026, and the company’s filing is dated 16 Oct 2026.
The scheme is between Hindware Home Innovation Limited, the demerged company, HHIL Limited, the resulting company, and Hindware Limited, the transferee company, along with their shareholders and creditors. It was filed under Sections 230 to 232 of the Companies Act, 2013. As described in the tribunal’s order, the consumer products business of the demerged company is to be demerged and transferred into HHIL Limited.
The scheme will become effective once the companies file the tribunal’s order with the Registrar of Companies, as the scheme provides. The company says certified copies of the order are still awaited, and it has attached the order as available on the NCLT website.
The company had earlier informed the exchanges about the scheme on 27 May 2026, 7 Mar 2026, 4 Feb 2026 and 27 Mar 2025.

The tribunal’s sanction is one step in the scheme, but the scheme becomes effective only when the companies file the order with the Registrar of Companies. The company says certified copies of the order are still awaited, so the scheme is not yet in effect.
A demerger moves one business into a separate company. In general, shareholders of the demerged company receive shares in the resulting company, but the filing does not state the share entitlement ratio or the record date.
